Reports to: SVP, General Counsel & SecretaryOverview: Act as the Corporate Counsel and Assistant Corporate Secretary for the holding company and wholly-owned subsidiaries.Essential Duties: (Approximate % of Time Spent)Federal Securities Compliance- Review annual and quarterly SEC filings prepared by the financial reporting team.- Draft / review other SEC filings, including Forms 8-K and proxy materials.- Ensure compliance with federal securities laws and NYSE listing requirements.- Act as liaison with the New York Stock Exchange and ensure all required filings are timely.- Act as liaison with the Company s Transfer Agent as well as other service providers / experts (e.g., proxy solicitors, institutional shareholder advisors, registered agents).- Prepare, review and provide compliance and disclosure advice concerning Section 16 reporting and insider trading matters.- Advise on investor relations and communications matters, including review of earnings announcements, earnings scripts, press releases, investor presentations, investor communications, internal communications, and other materials.- Assist in drafting new stock plans, amendments, prospectuses and award notices.- Assist HR in interaction with the Compensation Committee of the Board of Directors regarding various aspects of stock plan administration, including but not limited to plan capacity, shareholder approvals, award design, timing of awards and off-cycle equity actions.- Work on special projects as needed.Corporate Governance- Manage all aspects of meetings of the Board of Directors and committees of the Board, including logistics, identifying agenda items, preparation of materials (including resolutions) to be presented, communication of Board action to appropriate individuals within the company, preparation of meeting minutes and completion of appropriate follow-up actions post-meeting.- Prepare or provide substantive review of materials provided to the Sustainability and Governance Committee and the Compensation Committee.- Coordinate the annual stockholders meeting, including logistics and regulatory requirements.- Serve as liaison between the Company and the Board members, maintain corporate information for director portal and assist in Board member orientation.- Maintain awareness of governance changes promulgated by Federal securities laws and NYSE listing requirements and act as liaison with and respond to third-party governance rating agencies.Environment, Social and Governance Initiatives and Reporting- Maintain awareness of regulatory, investor and industry trends.- Monitor ratings, advise on actions to impact ratings and provide updates to rating companies.- Review supporting data and ensure Accounting review and tie-out.Corporate Transactions- Provide general corporate and commercial transaction legal support, including specifically as it relates to customer and supplier contracts, business and asset acquisitions and divestitures, the treasury function (credit facilities, debt issuance and equity offerings) as well as real estate transactions.Miscellaneous- Review company policies for accuracy and consistency; act as administrator to ensure review on a routine schedule.- Prepare and monitor budget, including systems and procedures for tracking expenses incurred with outside law firms and other service providers.- Conduct legal and business research and prepare specialized reports for the general counsel on an as-needed basis.- Provide updates to Company s internet site, as appropriate.Non-Essential Duties: Performs other duties as assigned.All employees shall be in compliance with the Archrock Health Safety and Environmental Policy and local, statutory and/or regulatory requirements at all times.Skills and Abilities:Ability to:- Perform all essential duties.- Review company policies for accuracy and consistency; act as administrator to ensure review on a routine schedule.- Prepare and monitor budget, including systems and procedures for tracking expenses incurred with outside law firms and other service providers.- Conduct legal and business research and prepare specialized reports for the general counsel on an as-needed basis.- Provide updates to Company s internet site, as appropriate.- Be highly organized with ability to work both independently and in cross-functional teams and manage internal and external stakeholders.- Interact comfortably with senior management and the Board of Directors.- Demonstrate excellent written, verbal, and interpersonal communication skills, attention to detail, and the ability to handle multiple projects at one time.- Demonstrate a proactive approach to recognizing needs, anticipating issues, and solving problems.Knowledge:- Subject matter expertise related to the essential duties, with a business-oriented approach.Minimum Education and Certification:- JD degree; licensed in Texas.Minimum Experience:- Experience with finance and capital markets transactions a plus.- Experience managing and improving processes.- 6+ years legal experience at a law firm or in-house advising public companies. Mix of law firm and in-house experience a plus.- Experience advising clients in securities law ( 33 and 34 Act) and SEC reporting and compliance matters and corporate governance issues.Leadership:- Expected to serve as a resource to others for problem solving, knowledge transfer, and training.- Expected to lead assigned projects / initiatives / teams.- Expected to work and lead under pressure to meet deadlines, exhibiting timely decision making, and complete heavy workload within established time frames.Physical Demands: (Reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions)- Regularly required to stand, walk, and bend with good balance, use hands to finger, handle or feel and reach with hands and arms.- Regularly required to sit, perform repetitive duties, use a PC and to talk and hear.- Vision abilities include close vision, distance vision, color vision, and the ability to adjust focus.- Regularly required to lift, move and carry up to 10 pounds.Problem Solving and Innovation:- Provides solutions to a diverse scope and range of complex problems where analysis of data requires evaluation of identifiable factors.- Solutions frequently require evaluation of variable factors, new approaches, planning and resourcefulness.- Expected to regularly identify opportunities and to provide ideas, methods and innovations to enhance customer satisfaction, efficiency, cost performance and quality within the scope of role.Impact:- Recognize and resolve issues of importance to the company.- Partner with business and legal colleagues to achieve the company s business objectives, building trusted advisor relationships.- Proactively and assertively manage matters to ensure the highest quality, efficient, and cost-effective representation of the company.This job description is a summary of essential job functions.
