This individual will generally provide thought leadership in the areas of securities law and selected strategic transactions and will frequently interact with UnitedHealth Group's senior leaders and outside counsel on complex issues having impact across UnitedHealth Group organization entities.You'll enjoy the flexibility to work remotely* from anywhere within the U.S. as you take on some tough challenges.Primary Responsibilities:

  • Provide securities law advice and expertise to senior executives and management in many functional areas, including counseling in the area of SEC rules and regulations applicable to: the 1934 Act periodic and current reporting (including Forms 10-K, 10-Q, 8-K; and disclosure committee and related financial reporting processes); Section 16 and other insider trading compliance; Investor Relations (including Reg FD compliance; earnings calls; investor meetings); proxy solicitation (including proxy statement; shareholder proposals; proxy advisors); the 1933 Act registration statements (including Forms S-3 shelf and S-8); and emerging areas such as ESG regulatory disclosures.
  • Advise Treasury in all corporate finance and capital market activities, including corporate bond offerings; credit facilities; and banking arrangements.
  • Assist in the preparation for UnitedHealth Group's annual shareholder meeting and related shareholder engagements.
  • Manage and oversee administration of the Company's corporate governance policies, including coordination of education and training as appropriate.
  • Perform other projects and duties as assigned on key projects relating to Board operations, SEC reporting, transactions and corporate governance. - You'll be rewarded and recognized for your performance in an environment that will challenge you and give you clear direction on what it takes to succeed in your role as well as provide development for other roles you may be interested in.Required Qualifications:
    • Juris Doctorate degree
    • State Bar membership
    • 7+ years of experience advising public companies in securities law and corporate governance matters
    • Expertise with federal securities laws, Delaware business corporation law, & NYSE regulations
    • Demonstrated interpersonal skills and a commitment to professionalism, integrity, and collegiality
    • Demonstrated solid understanding of business operations, negotiation tactics, and corporate governance issues
    • Demonstrated ability to evaluate and determine appropriate legal course of action to meet business needs
    • Full COVID-19 vaccination is an essential requirement of this role. Candidates located in states that mandate COVID-19 booster doses must also comply with those state requirements.       • 10+ years of counsel experience
      • Corporate governance counsel experience
      • In-house counsel experience
