Corporate Finance & Restructuring organization, we focus on our
clients’ strategic, operational, financial and capital needs by
addressing the full spectrum of financial and transactional
opportunities faced by corporations, boards, private equity
sponsors, creditor constituencies and other stakeholders.
Our Business Transformation, Transactions Services team helps
our clients across the entire life cycle by bringing our on-point
industry and deal expertise to advise our clients across the deal
life cycle, bringing deep deal experience coupled with on-point
industry experts to define the strategy and structure of a deal,
create financial and operational value for both Sellers and Buyers
(e.g., better pricing terms and post-Close outcomes) by developing
a strategic point of view for the deal timeline, assisting with
operational diligence, management presentations & negotiations,
accelerated integration planning, synergy management, separation
planning and execution, Day 1 readiness and post-Close execution.
Being a public corporation and consulting firm, we are free from

What You’ll Do
The Director in the Mergers, Integrations, & Carve-Outs (MICO)
Practice will collaborate with our clients and internal project
teams across the entire deal life cycle in domestic and
multinational companies across various and diverse industries. You
will use your strategic style, cross-functional expertise, and
advanced deal skills to.
Serve as a critical team member to help deliver and manage one
or multiple cross-functional workstreams and engagements, with
responsibility including directing the client team, delegating
tasks, handling all elements of execution, managing the FTI team,
and helping manage the client relationship on each assignment.
Manage various engagements, develop/mentor staff, work
directly with clients and FTI Consulting Executives.
Perform industry and company research and assist in preparing
reports and schedules that will be delivered to clients and other
Provide direction to maintain communication with clients and
staff members on engagements, while updating senior team members on
progress and issues.
Help mentor and train junior staff and provide internal thought
leadership on various industry topics.
Improve efficiency and effectiveness at all stages of
integrations and carve-outs; from identifying inorganic growth
opportunities to carving out and divesting parts of the business
and every aspect in-between.
Work with our clients and teams to improve efficiency and
effectiveness at all stages of mergers, acquisitions, integrations
and divestitures; from identifying inorganic growth opportunities

Facilitate and execute functional integration and separation
carve-out work streams and assist the client teams through the
process lifecycle (current state, interim/desired state) and
operating model development and optimization.
Facilitate and support cross-functional integration and
separation management and rolling out the methodology across all
work streams with the client through the entire deal lifecycle
Build internal relationships with and support other FTI
Transaction team groups and Business Transformation I services.
Support the development of thought leadership perspectives
Assist clients with building out functions as part of the
client's functional organization during an operational
restructuring effort (e.g., finance, corporate development/M&A,

MICO Director (Commercial and Operational Due Diligence)
Bachelor’s in Finance, Engineering, Economics, Information
Systems, or MBA /Advanced Degree, is preferred.
8+ years of relevant experience in a consulting, professional
services firm, or in combination with industry experience in a
M&A experience with a strong focus on operational
integration and separation, commercial due diligence and/or
operational due diligence within an integration and separation
Strategic thinker with the ability to interface with functional
executive team members and engage/manage various key client
personnel in demanding, fluid situations.
A strong aptitude for quantitative analysis and ability to drive
qualitative assessments (e.g., business strategy, go to market,
strategy, competitor assessment, product/competitor assessment,
business model assessment and case, synergy analysis, transition
strategy & execution, and address cross-functional operational
A strong aptitude for quantitative and qualitative analysis and
the ability to understand the business strategy,
Ability to develop current state and future state upside
potential (standalone) views and costs by managing the entire
operational strategy, diligence, planning/execution process.
A transactions expert that has led 3+ deals that involved
running an IMO/SMO, developing the integration/separation
methodology & roadmap, leading a functional workstream (e.g.,
finance & accounting, IT, Operations, Commercial, etc.) or
significant Industry knowledge
Some experience producing industry specific commercial due
diligence or working across all functions and conducting
operational diligence (for workstreams - operations, procurement,
supply chain, manufacturing, commercial, etc.)
High EQ and emotional intelligence to problem-solve and
constructively manage internal team and client Advanced issue
resolution and problem-solving skills.
Ability to work in a team environment and independently in
fast-paced, multi-tasked environment.
Client Management experience across managing projects and
workstreams, with a deeper understanding of project management
tools and techniques and knowledge to create and execute project
Ability to manage specific deliverables, work streams, and
Advanced problem-solving and issue resolution skills.
The ability to conduct detailed research on products, markets,
competitors and customers to identify risks and opportunities.
The ability to work with big data sets to conduct research and
analysis on products, markets, competitors and customers to
identify risks and opportunities, draw conclusions, and effectively
communicate and present data.
Ability to read and interpret financial statements and create
basic financial models.
Understanding the qualitative and quantitative aspects of
business problems; with the ability to link business strategy to
performance and due diligence findings.
Advanced proficiency in MS Excel, PowerPoint and full MS Office
Professional verbal and written communications.
Ability to travel up to 80%.
